Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Catalyst Code LLC ("Catalyst Code," "we," "us," or "our") governing your use of the ThreadNest mobile application on Apple iOS and Google Android (the "App").
By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.
1. License to Use the App
Subject to these Terms, Catalyst Code grants you a personal, limited, non-exclusive, non-transferable, revocable license to download and use the App on devices you own or control, for your personal, non-commercial use.
You may not: copy, modify, reverse engineer, decompile, distribute, sell, or create derivative works of the App, except as permitted by law.
2. Your Content
ThreadNest stores the thread inventory, projects, lists, notes, and photos you create ("Your Content") locally on your device. You own Your Content. You are responsible for backing it up (see §3) and for any data loss resulting from device failure, deletion, or uninstalling the App.
3. Backups
The App offers optional backup and restore using your own Google Drive (Android) or Apple iCloud (iOS) account. These backups are stored in your cloud account and are subject to Google's or Apple's terms. Catalyst Code is not responsible for the availability, integrity, or loss of backups stored in your cloud account.
4. Purchases and Subscriptions
The App offers ThreadNest Premium through in-app purchase.
- All purchases are processed by Apple (App Store) or Google (Google Play), not by Catalyst Code.
- Refunds, billing, cancellations, and renewals are handled by Apple or Google under their respective terms. Contact the relevant store for refund requests.
- Premium features and pricing may change. Where a purchase grants a one-time entitlement, it remains available per store policy; where a subscription applies, it renews per the terms shown at purchase until you cancel.
5. Accuracy Disclaimer (Color Matching & Pattern Scanning)
ThreadNest's color-matching, color-similarity, and OCR pattern-scanning features are provided as convenience tools and are best-effort only. Results depend on lighting, camera quality, screen calibration, pattern legibility, and thread-brand data.
Catalyst Code does not warrant that color matches, suggested threads, or scanned results are accurate or complete. You are solely responsible for verifying threads, colors, and quantities before purchasing or using them. We are not liable for purchases or project outcomes based on App suggestions.
6. Acceptable Use
You agree not to use the App: to violate any law; to infringe others' rights; to interfere with or disrupt the App; or to attempt to gain unauthorized access to any systems or data.
7. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATALYST CODE LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE APP IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $25.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
9. Termination
These Terms apply while you use the App. We may suspend or terminate your license if you breach these Terms. You may end this agreement at any time by deleting the App. Sections that by their nature should survive (e.g., disclaimers, limitation of liability, governing law) survive termination.
10. Governing Law
These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New York for any dispute not subject to the App stores' own dispute terms.
11. Apple- and Google-Required Terms
These Terms are between you and Catalyst Code LLC, not with Apple or Google. Apple and Google are not responsible for the App or its support. To the extent the App is acquired through the Apple App Store, Apple is a third-party beneficiary of these Terms and may enforce them.
12. Changes to These Terms
We may update these Terms from time to time. We will revise the "Last updated" date above and, where appropriate, notify you within the App. Continued use of the App after changes means you accept the updated Terms.
